Rhelm Alpha End User License Agreement

This End User License Agreement ("Agreement") is entered into by and between Rhelm, Inc. ("Company", "Rhelm", "we", "us") and the individual accepting this agreement ("User", "you", "your"). By accessing or using the Rhelm platform, you agree to be bound by this Agreement.

Section 1: Definitions

- "Platform" means the Rhelm AI agent orchestration platform, including all software, APIs, documentation, and related services.
- "Alpha Program" means the pre-release testing program during which the Platform is made available to selected users.
- "Confidential Information" means all non-public information disclosed by Company to User, including but not limited to: product features, user interface designs, software architecture, pricing models, bug reports, roadmap plans, and technical documentation.
- "Competing Product" means a product or service that is substantially similar to the Platform's core offering of AI agent orchestration for software development tasks.
- "Feedback" means any suggestions, ideas, enhancement requests, bug reports, or other feedback provided by User regarding the Platform.

Section 2: License Grant & Restrictions

2.1 License Grant. Subject to the terms of this Agreement, Company grants User a limited, non-exclusive, non-transferable, revocable license to access and use the Platform during the Alpha Program solely for the purpose of evaluating and testing the Platform.

2.2 Restrictions. User shall not: (a) copy, modify, distribute, sell, or lease any part of the Platform; (b) reverse engineer, decompile, or disassemble the Platform; (c) use the Platform to build a competing product or service; (d) share access credentials with unauthorized users; (e) use the Platform for any unlawful purpose; (f) remove or alter any proprietary notices on the Platform.

2.3 Intellectual Property. The Platform and its components are owned by Rhelm, Inc. Output generated by AI agents on User's behalf belongs to User. User retains all rights to code and content submitted to the Platform.

Section 3: Confidentiality

3.1 Obligations. User agrees to hold all Confidential Information in strict confidence, not disclose it to any third party without prior written consent, and use it solely for evaluating and using the Platform.

3.2 Scope. Confidential Information includes product features, UI designs, software architecture, pricing models, bug reports, platform roadmap, internal metrics, and technical documentation.

3.3 Exclusions. This obligation does not apply to information that is publicly available, was previously known, is independently developed, or is required by law.

3.4 Duration. Confidentiality obligations remain in effect for two (2) years from acceptance.

Section 4: Non-Competition

4.1 Restricted Activities. During the Alpha Program and for twelve (12) months following termination, User agrees not to develop, launch, or operate a Competing Product, or use Platform knowledge to replicate its core functionality.

4.2 Permitted Activities. General software development, using other AI tools, building non-competing AI features, continuing AI/ML employment, open-source contributions, and academic research are all permitted.

4.3 Consideration. Access to the Rhelm Alpha Platform constitutes sufficient consideration.

Section 5: Alpha Program Terms

5.1 Alpha Status. Features may change or break, data may be lost, no SLA is provided, and performance may vary.

5.2 No Warranty. THE PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND.

5.3 Data & Privacy. Usage data may be logged for debugging. Company will not sell personal data. User retains ownership of inputs and outputs.

5.4 Feedback Grant. User grants Company a perpetual, irrevocable, royalty-free license to use any Feedback.

Section 6: Limitation of Liability

6.1 Liability Cap. Total aggregate liability shall not exceed $0.

6.2 Exclusion of Damages. Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages.

Section 7: Termination

7.1 Company may revoke access at any time. User may terminate by ceasing use. Confidentiality, non-competition, and liability provisions survive termination.

Section 8: General Provisions

8.1 Governed by Delaware law. Disputes resolved through binding arbitration. This Agreement constitutes the entire agreement. Severability applies. Contact: legal@rhelm.io.
